CHUA  Kern

Director

Chua Kern specializes in corporate finance, securities, capital markets, and mergers and acquisitions. His expertise spans initial public offerings, private equity investments, cross-border acquisitions and disposals, joint ventures, and corporate restructuring. He also provides strategic counsel on regulatory compliance and corporate governance.

With extensive experience advising SGX-ST Mainboard and Catalist-listed companies, Chua Kern supports clients in corporate finance activities and major corporate actions, including acquisitions, takeovers, rights issues, private equity placements, and debt issuances. He also offers corporate advisory services on company and securities laws in Singapore.

Chua Kern holds an LLB (Hons) from the University of Bristol, England, and a postgraduate Diploma in Singapore Law from the National University of Singapore. He was called to the Singapore Bar in 1997.

Esther LIN

Senior Manager, Corporate Secretarial

Esther Lin brings over a decade of corporate secretarial experience, having held both in-house positions at SGX-listed companies and senior roles in leading corporate secretarial firms in Singapore. She specializes in advising and assisting listed and private companies on a broad range of corporate secretarial matters, ensuring compliance with regulatory requirements and corporate governance best practices.

She has played an integral role in various corporate actions, including share placements, mergers and acquisitions, and corporate restructuring. Additionally, she has supported Singapore-incorporated clients in their overseas listings and expansion efforts.

Esther holds an LCCI Double Diploma in Business Administration & Private Secretarial Studies, as well as a Specialist Diploma in Corporate Administration. She is currently pursuing the Chartered Governance Qualifying Programme and is on track to becoming a registered member of the Chartered Secretaries Institute of Singapore.

Terence TOH

Senior Executive, Corporate Secretarial

Terence Toh has over eight years of corporate secretarial experience, having worked with several reputable corporate service providers, including top law firms in Singapore. He has extensive experience supporting private limited companies, public companies, listed entities, and foreign companies with Singapore branches, ensuring compliance with corporate governance and regulatory requirements.

In addition to routine corporate secretarial matters, Terence has been actively involved in complex transactions, including capital reductions, share buybacks, and short-form amalgamations.

He has successfully completed the Chartered Governance Qualifying Programme (CGQP) under the Chartered Governance Institute (CGI), further strengthening his expertise in corporate governance and compliance.

Gwen CHUAH

Executive, Corporate Secretarial

Gwen Chuah began her career in a Malaysian accounting firm, gaining five years of experience in external audit for Malaysian private companies. She later transitioned into corporate secretarial services, joining one of Singapore’s leading corporate secretarial firms.

With a strong foundation in financial and regulatory compliance, she has worked with both listed and private companies, providing comprehensive corporate secretarial support to ensure adherence to governance and statutory requirements.

Gwen is also a registered member of the Association of Chartered Certified Accountants (ACCA), further enhancing her expertise in corporate governance and financial management.

Desmond PHAN

Executive, Corporate Secretarial

Desmond Phan holds a Bachelor of Business Administration with First Class Honours and has extensive experience in corporate secretarial services, having worked with leading corporate service providers in both Malaysia and Singapore.

He is currently pursuing the Chartered Governance Qualifying Programme with the Malaysian Institute of Chartered Secretaries and Administrators (MAICSA)



He has worked closely with listed and private companies, providing comprehensive corporate secretarial support to ensure regulatory compliance and strong corporate governance.
